Corporate & Commercial
Glaister Ennor’s Corporate and Commercial team provides advice to a range of corporate clients: multi-nationals, listed public companies, private equity funds, and small to medium enterprises. Our approach is to deliver pragmatic commercial solutions that recognise and meet our clients’ business needs. As well as dealing with day-to-day commercial issues, we have the expertise and resources to undertake major projects in a timely and efficient manner.
Our experience in our own property and investment business, and in the business of law, means that our legal advice is based on sound experience. This gives us the judgment to assist clients to mitigate risk and to maximise the commercial objectives. Our experience and expertise allows us to focus on developing effective strategies, and negotiating and managing complex work streams.
We advise across all commercial contracts, all aspects of business mergers and acquisitions, and all business structures, including management of shareholder interests and agreements. This includes us maintaining a detailed focus on required regulatory and compliance regimes.
Our team, whilst undertaking “all business as usual” commercial contracts, has particular focus on:
- capital raising
- foreign investment in New Zealand (land and business)
- anti-money laundering
- employee incentive schemes
- anti-competitive schemes
- consumer terms and conditions
- supply and distribution contracts
- manufacturing, licensing, and procurement matters
Our view is that commercial contracts need to be tightly negotiated and tailored to the client’s business with the intent of adding value. To achieve this we utilise a full range of specialists and co-ordinated legal support.
Corporate Investments & Finance Structuring
Glaister Ennor’s has its own investment business. This is largely wholesale investment in property syndicates and mortgages. We also have an interest in a regulated, managed collective investment scheme. In addition, leveraging off this business, we provide advice to funders, investment managers, and investors on investment structures.
Our approach is based on using the benefit of our experience and expertise to provide our clients practical and cost effective solutions.
We are regarded as a leader in the property and mortgage investment area. We also assist clients with investment in other areas such as private equity, foreign exchange, and fixed interest.
We offer a team with a wide range of skills. Three partners of the firm, each with over 20 years of experience in the investment and financial services sector, oversee the team. Well-qualified and well-experienced support staff make up the team. They deal with investor queries and prepare the relevant documentation.
We have recently been successful in transitioning regulated clients from the old Securities Act regime to compliance with the Financial Markets Conduct Act. And, we successfully obtained licences to manage managed investment schemes. In addition, we have advised a number of law firms on appropriate replacement structures for their nominee lending businesses.
Our experience is based on our own investment business and on our involvement in other investment businesses. As such, we know what services need to be provided and what issues arise. These experiences enhance our expertise. We, therefore, offer clients the benefits of our expertise.
Clients value this specialist service and expertise. We enjoy creating investments that work for both the investors and the offeror. We find it very rewarding to see our efforts become successful for our clients.
